Reseller Terms and Conditions

By using our platform, you agree to these Terms and Conditions of Use. This document outlines the basic rules of access, responsibilities, and limitations associated with the use of our services.

1. Program Definition

The Reseller Program allows companies or professionals (hereinafter, “Reseller”) to offer third parties (hereinafter, “Owners” or “End Clients”) access to and use of Flow Bill (hereinafter, “the Platform”) under the following structure:

  • The Reseller can register Owners on the Platform.
  • The subscriptions and costs associated with the Companies created by the Owners are the responsibility of the Reseller.

2. Program Registration

  • The Reseller must create an account on the Platform and accept these Terms.
  • Acceptance implies that the Reseller is authorized to act on behalf of the Owners they register.
  • Each Owner created by the Reseller will be exclusively linked to that Reseller.

3. Plans, Prices and Charges

  • Each Company created on the Platform has a standard monthly cost of 15 USD, unless promotions or applicable discounts apply.
  • Each new Company enjoys a 1-month free trial.
  • After the trial period, the Reseller is responsible for paying the monthly subscription for all active Companies created by their Owners.
  • Additional costs, such as extra employees or new branches, will be billed according to the current rates on the Platform.

4. Branding and Intellectual Property

  • The Reseller Program does not include white-label options.
  • The Platform will retain its name, logo, and visual identity elements at all times across all interfaces, communications, and documents.

5. Billing and Payments

  • All invoices are issued in the name of the Reseller for the use of the Platform and the corresponding commissions.
  • Payment must be made within the deadlines specified on each invoice.
  • Failure to make payments may result in the suspension or cancellation of the accounts associated with the Reseller.

6. Reseller Responsibilities

  • The Reseller is responsible for:
    • Managing the business relationship with their Owners.
    • Charging or not charging their Owners for the trial period, according to their own policies.
    • Ensuring the accuracy of the data provided when registering Owners on the Platform.
    • Complying with the laws and regulations applicable to their business activity.

8. Limitation of Liability

  • The Platform will not be responsible for the business relationships or financial agreements between the Reseller and their Owners.
  • The Reseller holds the Platform harmless from any claims arising from disputes between them and their Owners.

9. Modifications

  • The Platform may modify these Terms at any time.
  • Changes will be notified to the Reseller by electronic means.

10. Termination

The Platform reserves the right to cancel the Reseller's participation in the Program in case of breach of these Terms or misuse of the service.
